Dachi Terms of Service

Applies to: Dachi mobile apps (iOS), the Dachi marketing website/landing page(s), and related services (collectively, the “Services”).

Overview

• You must be 18+ to use Dachi.
• Dachi is a wellness/fitness information app and does not provide medical advice.
• Subscriptions are currently offered via Apple App Store only (with a 7‑day free trial per Apple’s rules).
• You own the content you upload; you grant us a limited license to operate the Services.
• We provide the Services AS IS; our liability is limited to the amount you paid in the last 12 months (or US$100 if none), to the extent permitted by law.

1) Who we are

Dachi is operated by Ophir Abitbol Consulting (Israeli sole proprietorship) (”Dachi”, “we”, “us” or “our”).

These Terms form a legally binding agreement between you and Dachi. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2) Eligibility & accounts

• Age: You must be 18 years or older. We do not permit use by anyone under 18.
• Account: You may need an account to use certain features. Keep your credentials confidential and notify us of any unauthorized use. You are responsible for activity under your account.
• Sign‑in: You may sign in with Apple or Google. You must keep your sign‑in method active to retain access to your account.

3) Subscriptions, trials & billing (Apple App Store)

• Where offered: Paid subscriptions are currently offered only via the Apple App Store. If we later offer subscriptions through other platforms, we’ll update these Terms.
• Free trial: If available, a 7‑day free trial is administered by Apple under Apple’s applicable terms and App Store rules. Trials convert to a paid subscription unless you cancel at least 24 hours before the trial ends.
• Auto‑renewal: Subscriptions auto‑renew unless you turn off auto‑renew in your Apple ID Settings → Subscriptions at least 24 hours before the current period ends.
• Charges: Apple may charge your Apple ID within 24 hours prior to the end of the current period. Prices may change; if they do, Apple may notify you and you may need to consent to continue.
• Cancellation & refunds: Manage cancellations and refunds through Apple. Dachi does not process App‑Store payments or refunds directly (except where required by law).
• Taxes: Prices may not include taxes/fees; Apple may apply them as required by law.
• Courtesy reminders: We attempt provide a push reminder before a trial ends. Delivery is not guaranteed, and you are solely responsible for timely cancellation in your Apple ID → Subscriptions. Dachi is not liable for missed reminders or charges if you do not cancel in time.

4) Health & safety notice (no medical advice)

Dachi provides general wellness and fitness information and tools for self‑tracking. We do not provide medical care or clinical services and Dachi is not a medical device. The Services are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified health professional before making changes to diet, exercise, or wellness routines, especially if you have a medical condition, are pregnant, or take medications. In an emergency, call your local emergency number immediately.

5) Special terms for Apple HealthKit (planned)

If/when you enable Apple HealthKit, you control what data types Dachi can read/write in iOS settings. We will not use HealthKit data for marketing/advertising, and we will not sell HealthKit data. You can revoke permissions at any time in iOS. Additional platform rules may apply.

6) Your content & licenses

• Your ownership: You retain ownership of photos, text, logs, and other content you submit (“User Content”).
• License to Dachi: You grant Dachi a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, modify, adapt, process, and display your User Content solely to operate, provide, secure, and improve the Services (including generating insights and enabling features you request).
• Public sharing: If you choose to make content public or share links, that content may be visible to others and may be cached or re‑shared. You can delete your content, but copies outside our control may persist.
• Your responsibility: You represent that you have the rights to your User Content and that it does not violate law or others’ rights.

7) License to you; ownership of the Services

• License: Subject to these Terms, Dachi grants you a limited, non‑exclusive, non‑transferable, revocable license to use the Services for your personal, non‑commercial purposes.
• Reservation of rights: We and our licensors own the Services, including all software, designs, and content (excluding User Content). The Dachi name and logos are trademarks of Dachi or its licensors.
• Open‑source: Some components may be provided under open‑source licenses; those terms will govern as applicable.

8) Acceptable use

You agree not to:

1. Use the Services for unlawful purposes or in violation of these Terms.
2. Upload or share content that is illegal, harmful, fraudulent, infringing, defamatory, harassing, hateful, or invasive of privacy.
3. Attempt to reverse‑engineer, decompile, or otherwise access source code or bypass security/technical protections.
4. Access or scrape the Services by automated means without our prior consent.
5. Interfere with operation of the Services or impose an unreasonable load (e.g., DoS).
6. Misrepresent your identity or affiliation, or collect personal information of others without consent.
7. Upload viruses, malware, or other harmful code.
8. Use the Services to create a competing product or for benchmarking without permission.

We may remove or restrict content or accounts that violate these Terms or the law.

9) AI features and your inputs

Some features use AI/ML to analyze inputs (e.g., food images/descriptions) and generate outputs. You grant us the rights necessary to process your inputs and provide outputs. AI outputs may be inaccurate or incomplete; use your judgment and verify important information. You remain responsible for your decisions and use of outputs. Where controls exist, we instruct providers not to use your content to train their models.

10) Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information and your choices. By using the Services, you acknowledge the Privacy Policy. The Privacy Policy is incorporated by reference into these Terms.

11) Third‑party services & links

The Services may integrate or link to third‑party services (e.g., Apple, Google, Firebase, OpenAI, HealthKit) that are not under our control. Different terms and privacy policies apply. We are not responsible for those services.

12) App stores; Apple‑specific terms

You acknowledge that these Terms are between you and Dachi, not Apple. Apple and Apple’s subsidiaries are third‑party beneficiaries of these Terms and may enforce them. Your use of the iOS app must comply with Apple’s App Store Terms and Usage Rules. Dachi, not Apple, is responsible for the app and its content.

13) Changes to the Services

We may change, suspend, or discontinue features (in whole or part) at any time, including for maintenance, updates, or security. If we discontinue a material feature of a paid plan, we may provide equivalent value or a pro‑rata remedy consistent with platform rules.

14) Termination

We may suspend or terminate your access at any time if you breach these Terms, if required by law, or to protect users, safety, or the integrity of the Services. You may stop using the Services at any time and can delete your account in‑app or by emailing support@dachiapp.com. Upon termination, your right to use the Services ends, but sections that by their nature should survive (e.g., licenses to the extent necessary, disclaimers, limitations of liability, indemnity) will survive.

15) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMERS OF CERTAIN WARRANTIES, SO SOME DISCLAIMERS MAY NOT APPLY TO YOU.

16) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DACHI AND ITS PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO DACHI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US$100 IF YOU HAVE NOT PAID ANYTHING. SOME JURISDICTIONS LIMIT SUCH DISCLAIMERS; WHERE PROHIBITED, THIS LIMITATION DOES NOT APPLY.

17) Indemnity

You agree to defend, indemnify, and hold harmless Dachi from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your User Content, or your violation of these Terms or applicable law.

18) Governing law & venue

These Terms are governed by the laws of the State of Israel, without regard to conflict‑of‑laws principles. You and Dachi submit to the exclusive jurisdiction and venue of the courts located in Israel for all disputes arising out of or relating to the Services or these Terms, except where applicable law provides you a mandatory right to bring claims in your place of residence. Consumers in the EU/UK will benefit from any mandatory provisions of local law.

19) Export & sanctions compliance

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S., EU, UK, or Israeli sanctions or export controls, and you will not use the Services in violation of such laws.

20) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., in‑app, website, or email) and update the “Last updated” date. Changes take effect when posted or on the stated effective date. If you continue using the Services after the changes take effect, you agree to the revised Terms.

21) Miscellaneous

• Severability: If any provision is unenforceable, the remainder will remain in effect.
• Waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a business transfer.
• Entire agreement: These Terms, plus any policies or terms referenced herein (including the Privacy Policy), are the entire agreement between you and Dachi regarding the Services.
• Force majeure: We are not liable for delays or failures due to events beyond our reasonable control (e.g., outages, natural disasters, war, strikes, government actions).
